TO THE QUALIFIED VOTERS OF JACKSON COUNTY SCHOOL DISTRICT, GEORGIA;
CITY OF COMMERCE, GEORGIA, AND CITY OF JEFFERSON, GEORGIA:
NOTICE IS HEREBY GIVEN that on the 18th day of September, 2001,
an election will be held at the regular polling places in all
the election districts of the Jackson County School District,
Georgia (the "Jackson School District"), the City of
Commerce, Georgia, which comprises the Commerce School System
and the City of Jefferson, Georgia, which comprises the Jefferson
School System, at which time there will be submitted to the qualified
voters of Jackson County for their determination the question
of whether a special sales and use tax of one percent shall be
imposed on all sales and uses in Jackson County for a period
of time not to exceed five years (20 calendar quarters), commencing
upon the expiration of the current tax, to raise not more than
$43,000,000 for the purposes of (a) for the Jackson School District,
(i) paying all or a portion of the debt service on outstanding
Series 1993 General Obligation Bonds previously issued by the
Jackson School District, unrefunded Series 1994 General Obligation
Bonds previously issued by the Jackson School District and Series
1998 Refunding General Obligation Bonds previously issued by
the Jackson School District (the "Outstanding Jackson School
Debt"), the maximum amount of debt service to be paid with
sales tax proceeds will be $8,835,838 and (ii)(A) acquiring,
constructing and equipping new school buildings and other buildings
or facilities useful or desirable in connection therewith, (B)
acquiring new school equipment, (C) adding to, renovating, repairing,
improving and equipping existing school buildings or other buildings
or facilities useful or desirable in connection therewith, and
(D) acquiring any property necessary or desirable therefor, both
real and personal (the "Jackson School Projects"),
the maximum amount of the Jackson School Projects to be paid
with sales tax proceeds will be $27,765,100 less the amount of
Jackson School District's share of such proceeds used to pay
the Outstanding Jackson Debt; (b) for the Commerce School System,
(i) acquiring, constructing and equipping new school buildings
and other buildings or facilities useful or desirable in connection
therewith, (ii) acquiring new school equipment, (iii) adding
to, renovating, repairing, improving and equipping existing school
buildings or other buildings or facilities useful or desirable
in connection therewith, and (iv) acquiring any property necessary
or desirable therefor, both real and personal (the "Commerce
School Projects"), the maximum amount of the Commerce School
Projects to be paid with sales tax proceeds will be $7,099,300;
and (c) for the Jefferson School System, (i) paying a portion
of the debt service on the outstanding Series 1996 General Obligation
Bonds previously issued by the City of Jefferson and the Series
2000 General Obligation Bonds previously issued by the City of
Jefferson (the "Outstanding Jefferson Debt"), the maximum
amount of debt service to be paid with sales tax proceeds will
be $1,750,000 and (ii)(A) acquiring, constructing and equipping
new school buildings and other buildings or facilities useful
or desirable in connection therewith, (B) acquiring new school
equipment, (C) adding to, renovating, repairing, improving and
equipping existing school buildings or other buildings or facilities
useful or desirable in connection therewith, and (D) acquiring
any property necessary or desirable therefor, both real and personal
(the "Jefferson School Projects"), the maximum amount
of the Jefferson School Projects to be paid with sales tax proceeds
will be $8,135,600 less the amount of Jefferson School System's
share of such proceeds used to pay the Outstanding Jefferson
Debt.
Debt of Jackson School District
If the imposition of such tax is approved by the voters of the
Jackson School District, such vote shall also constitute approval
of the issuance of general obligation debt of the Jackson School
District (which may be in the form of notes, bonds or a loan)
in the principal amount of $20,000,000 (the "Jackson Debt"),
the proceeds of the Jackson Debt, if issued, to be applied by
the Jackson School District toward the foregoing construction
of portions of the Jackson School Projects.
The Jackson Debt, if so authorized, may be issued by the Jackson
School District in whole or in part and shall bear interest from
the first day of the month during which the Jackson Debt is to
be issued or from such other date as may be designated by the
Jackson School District prior to the issuance of the Jackson
Debt, at a rate or rates not to exceed 6.5% per annum, payable
semiannually on the first days of February and August in each
year, commencing on the first of February or August following
the issuance of such Jackson Debt, and the amount of principal
to be paid on August 1 in each year during the life of such Jackson
Debt shall be as follows:

The principal and interest on the Jackson Debt is expected to
be paid from proceeds of the sales and use tax and shall be payable
in lawful money of the United States of America at a paying agent
bank which will be designated by the Board of Education of Jackson
County prior to the issuance of the Jackson Debt, but should
such proceeds be insufficient, then from the levy of an ad valorem
tax on all property in the Jackson School District (excluding
the Cities of Commerce and Jefferson) subject to taxation for
such purposes.
Any brochures, listings or other advertisements issued by the
Jackson County Board of Education or by any other person, firm,
corporation or association with the knowledge and consent of
the Jackson County Board of Education, shall be deemed to be
a statement of intention of the Jackson County Board of Education
concerning the use of the proceeds of the Jackson Debt.
Debt of the City of Commerce
If the imposition of such tax is approved by the voters of the
City of Commerce, such vote shall also constitute approval of
the issuance of general obligation debt of the City of Commerce,
on behalf of the Commerce School System, which may be in the
form of notes, bonds or a loan, in the principal amount of $6,000,000
(the "Commerce Debt"), the proceeds of the Commerce
Debt, if issued, to be applied by the Commerce City Board of
Education toward the foregoing construction of portions of the
Commerce School Projects.
The Commerce Debt, if so authorized, may be issued by the City
of Commerce, on behalf of the Commerce School System in whole
or in part, and shall bear interest from the first day of the
month during which the Commerce Debt is to be issued or from
such other date as may be designated by the City of Commerce,
prior to the issuance of the Commerce School Debt, at a rate
or rates not to exceed 6.5% per annum, payable semiannually on
the first days of February and August in each year, commencing
on the first day of February or August following the issuance
of such Commerce Debt, and the amount of principal to be paid
on August 1 in each year during the life of such Commerce Debt
shall be as follows:

Shall a special one percent sales and use tax be imposed in Jackson
County (such tax to be a continuation of the existing 1% sales
and use tax and not an additional sales and use tax) for a period
of time not to exceed five years (20 calendar quarters) commencing
upon the expiration of the existing one percent sales and use
tax previously imposed for the raising of not more than $43,000,000
for the purposes of (a) for the Jackson School District, (i)
paying all or a portion of the debt service on outstanding Series
1993 General Obligation Bonds previously issued by the Jackson
School District, unrefunded Series 1994 General Obligation Bonds
previously issued by the Jackson School District and Series 1998
Refunding General Obligation Bonds previously issued by the Jackson
School District (the "Outstanding Jackson School Debt"),
the maximum amount of debt service to be paid with sales tax
proceeds will be $8,835,838 and (ii)(A) acquiring, constructing
and equipping new school buildings and other buildings or facilities
useful or desirable in connection therewith, (B) acquiring new

therewith, (ii) acquiring new school equipment, (iii) adding
to, renovating, repairing, improving and equipping existing school
buildings or other buildings or facilities useful or desirable
in connection therewith, and (iv) acquiring any property necessary
or desirable therefor, both real and personal (the "Commerce
School Projects"), the maximum amount of the Commerce School
Projects to be paid with sales tax proceeds will be $7,099,300;
and (c) for the Jefferson School System, (i) paying a portion
of the debt service on the outstanding Series 1996 General Obligation
Bonds previously issued by the City of Jefferson and the Series
2000 General Obligation Bonds previously issued by the City of
Jefferson (the "Outstanding Jefferson Debt"), the maximum
amount of debt service to be paid with sales tax proceeds will
be $1,750,000 and (ii)(A) acquiring, constructing and equipping
new school buildings and other buildings or facilities useful
or desirable in connection therewith, (B) acquiring new school
equipment, (C) adding to, renovating, repairing, improving and
equipping existing school buildings or other buildings or facilities
useful or desirable in connection therewith, and (D) acquiring
any property necessary or desirable therefor, both real and personal
(the "Jefferson School Projects"), the maximum amount
of the Jefferson School Projects to be paid with sales tax proceeds
will be $8,135,600 less the amount of Jefferson School System's
share of such proceeds used to pay the Outstanding Jefferson
Debt. If the imposition and continuance of the tax is approved
by the voters within the Jackson School District, such vote shall
also constitute approval of the issuance of general obligation
debt of the Jackson School District in the principal amount of
$20,000,000 for the purpose of funding portions of the Jackson
School Projects. If the imposition and continuance of the tax
is approved by the voters within the City of Commerce, such vote
shall also constitute approval of the issuance of general obligation
debt of the City of Commerce for the benefit of the Commerce
School System in the principal amount of $6,000,000 for the purpose
of funding portions of the Commerce School Project.
The several places for holding said election shall be at the
regular and established voting precincts of the election districts
of Jackson School District, the City of Commerce and the City
of Jefferson, and the polls will be open from 7:00 a.m. to 7:00
p.m. on the date fixed for the election.
The last day to register to vote in this election shall be August
20, 2001, through 5:00 p.m.
Those residents of Jackson County qualified to vote at such election
shall be determined in all respects in accordance with the election
laws of the State of Georgia.
This notice is given pursuant to a resolution of the Board of
Education of Jackson County, a joint resolution of the Mayor
and Council of the City of Commerce and the Commerce City Board
of Education and a resolution of the City of Jefferson Board
of Education and an order of the Probate Judge of Jackson County

Deed given by Chip P. Stinchcomb to GHS Mortgage, LLC, d/b/a
Residential Alliance, dated August 30, 2000, recorded in Deed

transferred to GMAC Mortgage Corporation by assignment recorded
