Under and by virtue of the Power of Sale contained in a Security Deed given by Carol Burnett and George Burnett to SIB Mortgage Corp., dated August 15, 2001, recorded in Deed Book 24-H, Page 372, Jackson County, Georgia Records, as last transferred to US Bank National Association as Trustee of CSFB HEAT 2002-1 by assignment to be recorded in the Office of the Clerk of Superior Court of Jackson County, Georgia Records, conveying the after-described property to secure a Note in the original principal amount of NINETY-FIVE THOUSAND AND 0/100 DOLLARS ($95,000.00), with interest thereon as set forth therein, there will be sold at public outcry to the highest bidder for cash before the Courthouse door of Jackson County, Georgia, within the legal hours of sale on the first Tuesday in September, 2003, the following described property:

The Bonds shall be issued pursuant to and bear interest and be payable as described in the Amended and Restated Combined Cycle Project Bond Resolution of MEAG Power, adopted July 18, 2003, (the “Bond Resolution”), said Bonds to be issued to finance the Costs of Acquisition and Construction of the Combined Cycle Project and the Embedded Simple Cycle Costs, including Financing Costs, and generating capacity reserves and the prepayment of Fuel for the Combustion Cycle Project, and Refunding Bonds, all as defined in the Bond Resolution.
The Bonds are direct and general obligations of MEAG Power to which MEAG Power has pledged the Trust Estate (as defined in the Bond Resolution) in trust for the payment of the principal and redemption price of and interest on the Bonds and the Parity Obligations as defined in the Bond Resolution, subject only to the provisions of the Bond Resolution permitting the application of the Trust Estate for the purposes and on the terms and conditions set forth in the Bond Resolution. The Trust Estate includes revenues to be received by MEAG Power under the terms of certain Amended and Restated Combined Cycle Power Sales Contracts (defined in the Bond Resolution) between MEAG Power and the above-listed CC Participants (the “Contracts”), which require that such CC Participants take their Combined Cycle Obligation Share (as defined in the Contracts) of the output of the services and facilities of the Combined Cycle Project, and require that MEAG Power provide that output, authorize the issuance of the Bonds and provide that each such CC Participant is unconditionally obligated to make payments to MEAG Power of its Combined Cycle Obligation Share of Combined Cycle Project Annual Costs (as defined in the Contracts) and Embedded Simple Cycle Obligation Share of Embedded Simple Cycle Costs (as defined in the Contracts), including payment of amounts due on the Bonds. The Contracts further provide that if the revenues of any such CC Participant’s electric system or other funds are not sufficient for such purpose, such political subdivision shall assess and collect a continuing direct annual tax on all the taxable property within the boundaries of such political subdivision to the extent necessary to provide for any shortfall. The issuance of the Bonds shall not obligate the State of Georgia or any political subdivision thereof to levy or pledge any form of taxation whatever for the payment thereof. The Court will pass on the validity of the aforementioned Bond Resolution, the Contracts and the security for the Bonds. Any citizen of the State of Georgia has a right to object and may intervene and become a party to this proceeding.
